Terms and Conditions of the Licensing Agreement

Length of Term: One year.

Payment: Prepayment is required by check or credit card.

Renewals: Users re-ordering the same version will be given a 15% discount off the retail price.

Minimum Orders: $350 per file

Delivery: File can be e-mailed as an attachment or mailed on CD.
Orders will be processed within four business days after signed Licensing Agreement and prepayment are received.

Security Agreement: Customers acknowledge that the information licensed by Higher Education Publications, Inc. (HEP) is proprietary information to HEP comprised of: (a) works of original authorship, including compiled information containing HEP's selection, arrangement and coordination, expression of such information or pre-existing material it has created, gathered, or assembled; (b) confidential trade secret information; and (c) information that has been created, developed and maintained by HEP at great expense such that misappropriation or unauthorized use by others for commercial gain would unfairly and irreparably harm HEP. The customer shall not commit or permit any act or omission that would impair HEP's proprietary and intellectual property rights in the information licensed by HEP.

A Letter of Agreement describing appropriate use will be provided to buyers for appropriate signatures.

Limits of Liability: HEP has used its best efforts to ensure accuracy of this list but does not guarantee its accuracy in all respects. HEP liability for any damages or loss sustained by the lessee through the use of this list shall be limited to the cost of this list. In no event shall HEP be liable for any special or consequential damages.
